By using orixreef software, products, services or orixreef.com website (“Service”), or any other services (“orixreef”, “We”, or “Us”), you are agreeing to be bound by the following terms and conditions (“Terms of Service”), together with our Privacy Policy. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY, ITS AFFILIATES, AND ALL USERS WHO ACCESS OUR SERVICES THROUGH YOUR ACCOUNT TO THESE TERMS AND CONDITIONS, IN WHICH CASE THE TERMS “YOU” OR “YOUR” SHALL REFER TO SUCH ENTITY, ITS AFFILIATES, AND USERS ASSOCIATED WITH IT. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, YOU MUST NOT ACCEPT THIS AGREEMENT AND MAY NOT USE THE SERVICES. By using orixreef software, products, services or orixreef.com website (“Service”), or any other services (“orixreef”, “We”, or “Us”), you are agreeing to be bound by the following terms and conditions (“Terms of Service”), together with our Privacy Policy. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, YOU MUST NOT ACCEPT THIS AGREEMENT AND MAY NOT USE THE SERVICES.

Changes to the Site

orixreef reserves the right, at its discretion, to suspend, change, modify, add or remove portions of orixreef Content available on the Sites at any time and to restrict the use and accessibility of the Sites.

Eligibility

By accessing or using the orixreef Service you represent and warrant to orixreef that: (i) you are of legal age to form a binding contract, or, if you are a minor, you have your parent’s permission to use the orixreef Service, and your parent has read and agrees to these Terms of Service on your behalf; (ii) all registration information you submit is accurate, current, and complete; (iii) you will maintain the accuracy and completeness of such information; (iv) if you are accepting these Terms of Service on behalf of a company or other legal entity, you have the authority to bind that company or legal entity to these Terms of Service. You also certify that you are legally permitted to use and access the orixreef Service and take full responsibility for the selection and use of and access to the orixreef Service. These Terms of Service are void where prohibited by law, and the right to access the orixreef Service is revoked in such jurisdictions.

Service Overview

The Service includes the Site and the orixreef platform, tools, and other services provided through the service, including all software, data, text, images, sounds, videos, and other content made available. Any new features added to the Service are also subject to these Terms.

Intellectual Property Ownership and Rights Notices

The Site, Application, Services, and Collective Content are protected by copyright, trademark, and other laws of foreign countries. You acknowledge and agree that the Site, Application, Services, and Collective Content, including all associated intellectual property rights, are the exclusive property of orixreef and its licensors. You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Site, Application, Services, or Collective Content.

All trademarks, service marks, logos, trade names, and any other proprietary designations of orixreef used on or in connection with the Site, Application, Services, and orixreef Contents are trademarks or registered trademarks of orixreef. Trademarks, service marks, logos, trade names, and any other proprietary designations of third parties used on or in connection with the Site, Application, Services, orixreef Content is used for identification purposes only and may be the property of their respective owners. You understand and agree that you are bound by the additional Terms and Policies that may apply from time to time to your use of the Site, Application, Services, and Collective Content.

The copyright in the material contained on, in, or available through this Website or any other orixreef Site or Server excluding the Content (as defined in paragraph Users Content but including all other information, data, text, music, sound, photographs, graphics, video messages or other materials and the selection and arrangement thereof, and all source code, software compilations and other material (“Material”) is owned by or licensed to orixreef or its group companies. All rights are reserved. You do not have any right, interest or title in or to the Material unless otherwise expressly indicated. The trademarks, service marks, and logos (“Trade Marks”) contained on or in this Website or any other orixreef Site or Server are registered and owned by or licensed to orixreef or its group companies. Save as expressly stated, you do not have any right to use, copy, edit, vary, reproduce, publish, display, distribute, store, transmit, commercially exploit or disseminate the Trade Marks without the prior written consent of orixreef or the relevant group company. None of the Materials may be used for any commercial or public use. None of the Material may be copied, edited, varied, reproduced, published, displayed, distributed, stored, transmitted, commercially exploited, or disseminated in any form whatsoever without the prior written consent of orixreef or the relevant group company.

Registration, Passwords, and Responsibilities

Some parts of the Sites require registration. You are solely responsible for the confidentiality and use of and access to the orixreef Content and Sites using your username, password or ID. You agree to immediately notify orixreef if you become aware of any loss or theft of any username, password, or ID or any unauthorized use of a username, password, ID, or any other login details. orixreef reserves the right to monitor and record activity on the Sites, including access to orixreef Content.

Users Content

Users may create, upload, post, and store information, data, text, videos, images, or other materials (“Content”) on the Sites and/or Services, which may be viewable by You and other Users. You understand that any and all Content that you post, store and upload to the Sites or Services are the sole responsibility of the person from whom such Content originated.

You agree that you will not create, upload, post, or store any Content that (a) may create any liability, violate any Applicable Laws or result in any harm or injury to orixreef or any third party; (b) involves the publication of any material or content that is false, defamatory, untruthful, unlawful, harassing or obscene; (c) violates any privacy rights of any third party or promotes bigotry, racism, hatred or harm; (d) constitutes an infringement of any intellectual property or proprietary rights of any third party; or (e) contains any software viruses, corrupted data or other harmful, malicious, disruptive or destructive files or content.

In addition to the other rights afforded to orixreef under this Agreement, orixreef reserves the right, but has no obligation, to take remedial action if any Content materially violates any of the terms of this Agreement, which may include the removal or disablement of access to such Content, without any liability to you or any of your Users.

orixreef does not control the Content posted via Users of the Sites or Services, and as such, does not guarantee the integrity, quality or accuracy or such content. You agree that by using the service, you may be exposed to Content that is objectionable, indecent, offensive, or illegal in your jurisdiction. Under no circumstances, will orixreef be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content transmitted, posted, uploaded, emailed or otherwise made available via the Sites or Services.

User Account

You must comply with these user account terms:
1)You must provide accurate user information when you create your orixreef account.
2)You are responsible for safeguarding your password and for all activities that occur under your orixreef account. In case of breach of security, you must notify orixreef.
3)You should never use another user account without user consent.
4)You may not reverse engineer, decompile and disassemble the Service or attempt or assist anyone else to do so, unless such restriction is prohibited by law.
5)Your account must be registered by a human. Accounts registered by “bots” or other automated methods are not permitted. Also, you must be 13 years of age or older to use the orixreef service.
6)You will not use orixreef for any illegal activities and comply with local, state, and central laws.
7)You will pay all applicable fees when due and, if such fees are being paid via credit card or other electronic means, you authorize us to charge such fees using your selected payment method. We may revise fee rates for the Service from time to time and will provide you with email notice of any changes in fees at least thirty (14) days prior to your Service renewal date. You are responsible for providing complete and accurate billing information to orixreef.
8)If you have the Service Fees past due (for the Pro plans), orixreef reserve the right to deactivate your account

User Code of Conduct

Regarding the use of the Sites and Services, you and any of your account Users agree that you will not (a) engage in any activities that violate any Applicable Laws or that could create any liability or could result in any harm or injury to orixreef or any third party; (b) attempt to circumnavigate any content-filtering applications or security protocols orixreef has in place, or attempt to access any features or areas of the Sites or Services that you are not subscribed to or are not authorized to access; (c) engage in any illegal, harassing, predatory, intimidating or objectionable conduct on the Sites or Services; (d) develop any third-party applications or services outside of our API that interact with the Sites or the Services without orixreef’s prior written consent; (e) use the Sites or Services for any unlawful or unauthorized purpose or engage in or promote any activity that violates the terms and conditions of this Agreement; (f) infringe upon or violate any intellectual property or proprietary rights of any third party; (g) create, upload, post or store any Content that contains any software viruses, corrupted data, spam or other harmful, malicious, destructive or disruptive files or content on the Sites or Services; or (h) create, upload, post or store any Content that contains private or personal information of a third party without such third party’s consent.

License Fee, Payment, and Transactions

Access to certain orixreef Content may be subject to a fee or subscription. All payments (including applicable taxes) must be made in advance in a currency specified by orixreef. You are responsible for the payment of all charges associated with the use of the Sites using your Username, Password, or ID.

There may be from time to time opportunities to use the Sites to purchase products or services from third-party suppliers. In that event, your contract for such products will be with the third-party provider and not with orixreef.

Third-Party Services; Third-Party Materials

orixreef does not endorse or control, and makes no representations or warranties of any kind, regarding any Third-Party Services or Third-Party Materials you use including, but not limited to, the content, accuracy, quality, nature, appropriateness, decency, functionality, performance, reliability, completeness, timeliness, validity, safety, legality or any other aspect thereof.

Your use of Third-Party Services and Third-Party Materials is at your own risk. orixreef is not responsible for any issues, legal or otherwise, that may result from your use of the Third-Party Services or Third-Party Materials, including any loss, damage, or harm of any sort incurred as a result of your use of Third-Party Services or Third-Party Materials. If you access or use any Third-Party Services or Third-Party Materials, orixreef’s terms and policies, including these Terms, no longer govern. You should review the applicable terms and policies including, but not limited to, privacy and data gathering practices, of any Third-Party Service to which you navigate from the Services. For the avoidance of doubt, the terms and policies for Third-Party Services are solely between you and the Third-Party Services provider and do not orixreef.

Terms and Termination

orixreef may never delete or terminate the user account unless requested by a user itself. However, orixreef may delete the user account if we found malicious activity or policy violation. Users are notified when their account is deleted.

In case of non-payment of the Service fees, we will shift the premium plan to the Basic Free plan with no data deletion but the premium features will only unlock after successful payment.

Refund Policy

We do not offer refunds. If you wish to cancel your plan before the next renewal period, you will retain access to paid features until the end of your subscription period. When your subscription expires, your paid features will not be accessible, you will be downgraded to a basic account and your paid features will be locked.

Disclaimer of Warranties

THE SITES, SITE CONTENT, AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. BY ACCESSING OR USING THE SITES OR SERVICES YOU ACKNOWLEDGE AND AGREE THAT USE OF THE SITES, SITE CONTENT, AND SERVICES IS ENTIRELY AT YOUR OWN RISK. orixreef MAKES NO REPRESENTATIONS OR WARRANTIES, AND DISCLAIMS ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION:

(A) THAT THE SITES, SITE CONTENT, OR SERVICES WILL BE ACCURATE, COMPLETE, RELIABLE, SUITABLE, AVAILABLE, SECURE, TIMELY, MEET YOUR REQUIREMENTS, OR PROVIDE SPECIFIC RESULTS;
(B) REPRESENTATIONS, WARRANTIES AND CONDITIONS OF PERFORMANCE, MERCHANTABILITY, QUALITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, NON-INFRINGEMENT, TITLE, AND THOSE ARISING BY STATUTE OR OTHERWISE IN LAW, EQUITY, OR FROM A COURSE OF DEALING OR USE OF TRADE;
(C) THAT THE OPERATION OF THE SITES OR SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE;
(D) THAT DEFECTS OR ERRORS IN THE SITES, SITE CONTENT, OR SERVICES WILL BE CORRECTED;
(E) THAT THE SITES, SITE CONTENT, OR SERVICES WILL BE FREE FROM VIRUSES OR HARMFUL COMPONENTS; OR
(F) THAT COMMUNICATIONS TO, FROM, THROUGH, OR IN CONNECTION WITH THE SITES OR SERVICES WILL BE SECURE OR NOT INTERCEPTED.

THE SITES AND SERVICES ARE OFFERED AND CONTROLLED BY orixreef FROM ITS FACILITIES IN INDIA. orixreef MAKES NO REPRESENTATIONS THAT THE SITE OR SERVICES ARE APPROPRIATE OR AVAILABLE FOR USE IN OTHER LOCATIONS. THOSE WHO ACCESS OR USE THE SITE OR SERVICES FROM OTHER JURISDICTIONS DO SO AT THEIR OWN VOLITION AND ARE RESPONSIBLE FOR COMPLIANCE WITH LOCAL LAW.

Limitation of Liability

SUBJECT TO APPLICABLE LAW, IN NO EVENT SHALL orixreef, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, OR THEIR RESPECTIVE SUCCESSORS AND ASSIGNS (COLLECTIVELY, THE “LOW RELATED PARTIES”) BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, ANY LOSS OR DAMAGES IN THE NATURE OF OR RELATING TO LOST BUSINESS, LOST SAVINGS, LOST DATA, LOST USE, LOST OPPORTUNITIES, LOST PROFITS, LOSS OF GOODWILL, DAMAGE TO PROPERTY, THIRD-PARTY CLAIMS, OR ANY OTHER ECONOMIC LOSS, REGARDLESS OF THE CAUSE AND WHETHER ARISING IN CONTRACT (INCLUDING FUNDAMENTAL BREACH), TORT (INCLUDING NEGLIGENCE) OR OTHERWISE. THE FOREGOING LIMITATION SHALL APPLY EVEN IF AN orixreef RELATED PARTY KNEW OF OR OUGHT TO HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE orixreef RELATED PARTIES’ AGGREGATE AND COLLECTIVE LIABILITY RESPECTING ANY MATTER ARISING FROM, RELATING TO OR CONNECTED WITH THE SITES, SITE CONTENT, SERVICES OR THESE TERMS, WHETHER ARISING IN CONTRACT (INCLUDING FUNDAMENTAL BREACH), TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EXCEED THE LESSER OF (A) THE TOTAL AMOUNTS THAT YOU HAVE PAID TO orixreef, IF ANY, AND (B) EVEN IF AN orixreef RELATED PARTY HAD BEEN ADVISED OR OUGHT TO HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ANY orixreef RELATED PARTY BE LIABLE FOR ANY LOSS, DAMAGE, OR ARISING FROM THE FAILURE OF AN orixreef RELATED PARTY OR YOUR FAILURE TO PROTECT YOUR USERNAME OR PASSWORD.

THE orixreef RELATED PARTIES EXPRESSLY DISCLAIM ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS OR CONDUCT OF ANY THIRD PARTY USER, SERVICE PROVIDER, SPONSOR OF THE SITES, SITE CONTENT, OR SERVICES (COLLECTIVELY, “THIRD PARTY USERS”). UNDER NO CIRCUMSTANCES SHALL ANY orixreef RELATED PARTY BE LIABLE FOR ANY INJURY, LOSS, DAMAGE (INCLUDING SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY AND PUNITIVE DAMAGES) OR EXPENSE ARISING IN ANY MANNER WHATSOEVER FROM (A) THE ACTS, OMISSIONS OR CONDUCT OF ANY THIRD PARTY USER, OR (B) ANY USE OR INABILITY TO USE ANY INFORMATION, MATERIALS, SOFTWARE, CONTENT, GOODS OR SERVICES LOCATED ON OR MADE AVAILABLE THROUGH ANY WEB SITE OR SERVICE LINKED TO OR FROM THE SITES, SITE CONTENT OR SERVICES. IF YOU DECIDE TO ACCESS OR USE ANY WEB SITE OR SERVICE LINKED TO OR FROM THE SITES, SITE CONTENT, OR SERVICES (OR ANY INFORMATION, MATERIALS, SOFTWARE, CONTENT, GOODS OR SERVICES ON OR MADE AVAILABLE THEREFROM), YOU DO SO ENTIRELY AT YOUR OWN RISK.

YOU HEREBY RELEASE EACH orixreef RELATED PARTY FROM ANY DAMAGES THAT YOU INCUR, AND AGREE NOT TO ASSERT ANY CLAIMS AGAINST ANY orixreef RELATED PARTY, ARISING FROM YOUR PURCHASE OR USE OF ANY THIRD PARTY GOODS, SERVICES, SOFTWARE, MATERIALS, INFORMATION OR CONTENT MADE AVAILABLE THROUGH THE SITES, SITE CONTENT OR SERVICES OR LINKED TO OR FROM THE SITES, SITE CONTENT OR SERVICES.

TO THE EXTENT ANY PROVINCE, STATE, OR JURISDICTION DOES NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, orixreef’S LIABILITY IN SUCH PROVINCE, STATE, OR JURISDICTION SHALL BE LIMITED TO THE FURTHEST EXTENT PERMITTED BY LAW.

Indemnification

You agree to indemnify, defend, and hold harmless each of orixreef its parents, subsidiaries, affiliates, officers, directors and employees, from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from your use of this Site, the violation of these Terms of Use by you, or the infringement by you, or any other user using your account, of any intellectual property or other rights of any person or entity.

Assignment

You may not assign or transfer these Terms without orixreef’s prior written consent. orixreef may freely assign or transfer these Terms, at its sole discretion, without restriction.

Notices

Any notices or other communications permitted or required hereunder, including those regarding changes to these Terms, will be in writing and given by orixreef (i) via email (in each case to the address that you provide) or (ii) by posting to the Site or Mobile Application. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.

Applicable Law

These Terms of Service and any action related thereto will be governed by the laws of the State of Karnataka without regard to its conflict of laws provisions. The exclusive jurisdiction and venue of any action with respect to the subject matter of these Terms of Service will be the state and high courts located in the Karnataka and each of the parties hereto waives any objection to jurisdiction and venue in such courts.

Disputes

Any dispute between you and orixreef will be governed by these Terms and the applicable laws of INDIA.

Severability

If any provision of these Terms shall be deemed unlawful, void, or for any reason is unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
